Terms & Conditions 2025

1. General

1.1 These terms and conditions apply to all quotations, services, and agreements between InsightAgri BV and its customers.

1.2 Deviations from these conditions are only valid if confirmed in writing by InsightAgri.

1.3 The customer acknowledges and accepts that InsightAgri delivers a digital knowledge delivery service, focused on the primary food production sector.

2. Services Provided

2.1 InsightAgri provides a digital knowledge filtering service consisting of:

• Monitoring of open-access scientific literature and market intelligence;
• Selection of relevant items based on animal species and/or plant-related topics;
• Email delivery of selected content according to the chosen subscription;
• Quarterly sending of the mailing list in order to update the recipients.

2.2 The service distinguishes between two knowledge streams:

• Market Intelligence: Intended for commercial teams, delivered five times per week (working days);
• Scientific Publications: Intended for technical professionals, delivered three times per week (Monday, Wednesday, Friday).

2.3 Since collecting and evaluating

Scientific information requires time, Pascal Philipsen will allocate 25 annual vacation days for the preparation of scientific publications. These days will be scheduled in advance and will never exceed a continuous period of three weeks. Any scientific content missed during this time will be delivered retrospectively after the vacation period.

3. Subscription & Duration

3.1 The services are offered on a subscription -full monthly- basis. The service agreement is open-ended and may be terminated by the customer at any time with immediate effect.

3.2 Subscriptions are billed on a quarterly fee basis, independent of the number of recipients on the mailing list.

3.3 Customers may set up two mailing lists per company: one for Market Intelligence and one for Scientific Publications. Individuals may be listed on both.

3.4 Subscriptions automatically continue for an indefinite period unless explicitly terminated in writing (email accepted) by the customer.

4. Fees and Payment

4.1 All prices are exclusive of VAT unless stated otherwise.

4.2 Subscription fees are invoiced quarterly.

4.3 Payment must be made within 14 days of the invoice date.

4.4 In the event of late payment, InsightAgri reserves the right to suspend service until full payment is received.

5. Liability

5.1 InsightAgri strives to provide careful and up-to-date information selection. However, it makes no guarantees regarding the completeness, accuracy, or fitness for a specific purpose of the information provided.

5.2 InsightAgri shall not be liable for any damages resulting from the use of its services or the information provided.

6. Privacy & Confidentiality

6.1 InsightAgri processes personal data in accordance with applicable privacy laws.

6.2 Both parties are required to maintain strict confidentiality regarding any sensitive or proprietary information obtained during the course of the engagement.

7. Governing Law & Dispute Resolution

7.1 All agreements between InsightAgri and the customer are governed by Dutch law.

7.2 Disputes will preferably be resolved amicably. If this is not possible, the competent court in the district where InsightAgri has its registered office shall have exclusive jurisdiction.
